2. Words used in these Terms

  • MJC, we, us or our: MJC Property Partners Ltd.
  • Landlord: an owner, or an authorised representative of an owner, offering premises through our Services.
  • Provider: an organisation seeking premises for care, supported living, specialist housing or a related service.
  • User or you: an organisation or representative accessing the Portal or Services.
  • Property: premises presented through our Services for a possible care, housing or related commercial use.
  • Introduction: any connection made by us between a Landlord and Provider, online or offline.
  • Match: an Introduction that progresses towards an agreed property transaction.
  • Services: our sourcing, listing, introduction, communication, negotiation-support and transaction-coordination activities.
  • Fees: the charges owed to MJC under section 8 or a separate written agreement.

3. MJC's position between the parties

MJC is an independent intermediary and may act for, and charge, both the Landlord and the Provider involved in the same Match. By proceeding, each party acknowledges that arrangement. Each party's precise charge will be confirmed separately in writing.

We are not your solicitor, surveyor, lender, financial or tax adviser, planning adviser, care consultant or regulatory consultant. Information or templates supplied through the Services are general support, not professional advice. Landlords and Providers must each appoint and rely on their own suitably qualified advisers before committing to a lease or other transaction.

4. Eligibility

The Portal and Services are for business and organisational users, not personal consumers. Users must be at least 18 and authorised to represent their organisation.

A Provider must be, or act with authority for, an organisation operating or planning a care, supported-living, children's-service, specialist-housing or related activity. A Landlord must own the relevant Property or have clear authority to grant the proposed lease.

We may reasonably decline, restrict or end access if identity, authority, conduct, regulatory status, legal compliance or information supplied gives us cause for concern.

5. Accounts and checks

A Provider needs an account to access listings. When dealing with us, you must:

  • give accurate, complete and current information;
  • assist with reasonable identity, company, beneficial-owner, regulatory and anti-money-laundering checks;
  • protect account credentials and prevent their unauthorised use;
  • tell us promptly if an account may have been compromised; and
  • accept responsibility for activity by people using credentials issued to your organisation.

We may compare submitted information with public or third-party sources, including Companies House, CQC, Ofsted, the Land Registry and relevant planning records. Those checks support our own diligence; we do not guarantee that an external register is complete or error-free.

6. Property information and due diligence

Descriptions, images, floorplans, rents, safety information, planning details and other listing material may be supplied by landlords or obtained from third parties. Although we aim to present material responsibly, it may contain errors, become outdated or be incomplete. A listing is information only; it is not an offer or a guarantee from MJC.

Before proceeding, each party must carry out its own checks. These should cover ownership and title, lease rights, planning and use class, any HMO or other operational licence, fire and building safety, gas and electrical safety, asbestos and Legionella risk, physical condition, surveys and suitability for the Provider's service users, regulatory registration and operating model. The Landlord must provide reasonable access and information for that work.

7. What our intermediary service may include

For a potential Match, we may connect the parties, pass on documents and proposals, coordinate viewings, help frame the main commercial lease points and provide general market context or optional templates. The parties and their solicitors remain responsible for agreeing and completing the lease.

MJC does not receive or hold rent, tenancy deposits or other sums payable under the lease. Those payments pass directly between Landlord and Provider.

8. Fees, invoicing and withdrawal

Unless a separate signed fee agreement says otherwise, each party pays MJC a fee equal to one month's rent for the relevant Property. The Landlord's fee covers provider sourcing, lease structuring and legal handover. The Provider's fee covers property sourcing, lease structuring and legal handover. VAT is added at the applicable rate.

Each party pays its own solicitors and other advisers directly. Those professional costs are not included in MJC's fee.

Each party's MJC fee is split as follows:

Payment pointShare of that party's feeDue
Contract initiation fee (CIF)50% of one month's rentWhen contract work is initiated
Completion balance50% of one month's rentWhen the binding lease is completed and signed

Invoices must be paid by bank transfer within 14 days. Overdue commercial invoices may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

If a party withdraws after contract work has begun, that party loses its CIF and must meet legal costs already incurred by both parties because of the withdrawal. No recurring MJC charge is due after completion.

An MJC fee remains due if parties introduced by us transact within 24 months of the Introduction, whether the transaction concerns the first Property, another Property controlled by the same or a connected Landlord, or a connected Provider organisation. Each party is responsible only for the fee it has agreed; we do not take one party's charge from the other without a separate agreement.

9. Provider responsibilities

A Provider must use Portal information only for its own genuine business property search. It must keep all required registrations in good standing, comply with safeguarding, equality, fire, health and safety, data-protection and other applicable requirements, preserve the confidentiality of listing and counterparty information, and notify us of a material regulatory change.

A Provider must not use an Introduction to deal around MJC, directly or through another person, without our written agreement.

10. Landlord responsibilities

A Landlord confirms that it owns the Property or has unconditional authority to offer the proposed lease. Information supplied must be accurate, complete, lawful and not misleading, and changes affecting availability, rent or condition must be reported promptly.

A Landlord must not create conflicting commitments that prevent an agreed Match, bypass MJC after an Introduction, or unreasonably delay responses needed to progress a genuine enquiry.

11. Financial-crime compliance

We may need to perform customer due diligence under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 and related sanctions or financial-crime rules.

We can pause or decline a listing, enquiry, Introduction or engagement if required checks cannot be completed or if continuing may expose us to a breach of law or regulation. This includes concerns about identity, ownership, authority, regulatory standing or source of funds.

12. Acceptable use

Use the Portal lawfully and only for its intended business purpose. You must not copy or scrape listings at scale, build a competing database from Portal material, interfere with security, seek access without permission, introduce malicious code, or send unsolicited communications through the service.

We may alter, suspend or withdraw Portal functions where reasonably necessary, including for maintenance, security or legal reasons.

13. Ownership of content

MJC or its licensors owns the intellectual-property rights in the Portal, brand, reports, layouts and content, except material clearly owned by a User or third party. While complying with these Terms, you receive a personal-to-your-organisation, limited, revocable and non-transferable right to view the Portal and save or print a listing solely to consider a transaction.

No Portal content or MJC branding may be republished, licensed, sold or commercially reused without written permission.

14. Responsibility and liability

Nothing here excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that the law does not allow us to exclude.

Subject to that protection and so far as the law permits, MJC is not liable for lost profit, revenue, opportunity, savings, goodwill or reputation; regulatory penalties; or indirect or consequential loss arising from the Portal, Services or a Match. Our total liability to a User for a Match will not exceed the Fees that User actually paid for that Match, or £1,000 if it paid no Fees.

We do not promise that a Property will suit a particular operation, that a consent or registration will be granted, that negotiations will complete, or that a particular financial or operational result will follow.

15. Claims caused by a User

A User must reimburse MJC for reasonable losses, costs, claims and legal expenses resulting from that User's breach of these Terms, misuse of the Portal, materially false information, or a third-party claim arising from that User's proposed or actual use of a Property.

16. Ending access or an engagement

An engagement can be ended as provided in its separate fee agreement. We may suspend or close an account on reasonable grounds, including suspected illegality, a material breach or an unpaid Fee.

Ending the relationship does not cancel rights or payments already accrued. Provisions intended to continue — including confidentiality, intellectual property, fee protection, the 24-month Introduction period, liability, indemnity and governing law — remain effective.

17. Confidential information

The parties must protect non-public information learned through the Portal or a Match, including identities, negotiations, proposed terms and operational or commercial material. This duty does not cover information already lawfully known, independently and lawfully received, public through no breach, or required to be disclosed by a court, regulator or law.

18. Complaints

Email contact@mjcpropertypartners.co.uk as soon as possible if you are dissatisfied. We will acknowledge the issue and aim to give a substantive response within 28 days. If an applicable independent redress scheme is confirmed for an engagement, its details will be provided directly to the relevant party.

19. Personal information

Our Privacy Policy explains MJC's processing and is incorporated into these Terms. Every User must handle personal information received through the Portal lawfully. Providers remain independently responsible for any information about service users that they choose to process when assessing or operating a Property.

20. Changes

We may revise these Terms. The version displayed when the Portal or Services are used applies at that time. We will notify affected parties in an appropriate way if a material revision changes an existing engagement.

21. Standard contractual provisions

These Terms, the Privacy Policy and any separate written fee agreement form the entire agreement on their subject matter. You cannot transfer your rights without our written consent; we may transfer ours with the business. If one provision is invalid, the remaining provisions continue. Delay in enforcing a right is not a waiver. No third party may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999. Notices to MJC go to contact@mjcpropertypartners.co.uk; notices to you go to the latest email held for your account.

22. Law and courts

English and Welsh law governs these Terms and related non-contractual disputes. The courts of England and Wales have exclusive jurisdiction.
